## 1. Agreement to these terms

These Terms of Service ("**Terms**") are a binding agreement between you and
[[FILL: ENTITY_LEGAL_NAME]] ("**GigBook**," "**we**," "**us**") governing your use of
the GigBook platform, portals, booking forms, help site, and APIs (the "**Service**").
By creating an account, accessing a portal, submitting a booking form, or using the
Service, you agree to these Terms and to our [Privacy Policy](/privacy-policy). If you
do not agree, do not use the Service.

These Terms apply to two kinds of users:
- **DJ Businesses** — businesses that hold a GigBook account to manage their clients.
- **Clients / Couples** — people who use a DJ Business's portal or booking form to
  book and plan an event.

Where a term applies to only one, we say so.

## 2. Definitions

- **DJ Business** — the account-holding business using GigBook with its clients.
- **Client / Couple** — an end user booking or planning an event through a DJ
  Business's portal.
- **Customer Content** — information, files, and materials submitted to the Service
  by DJ Businesses or Couples (booking details, planning notes, contracts, logos,
  etc.).
- **Service** — the GigBook platform and all related sites and APIs.

## 3. Eligibility

You must be at least **18 years old** and able to form a binding contract to use the
Service. If you use the Service on behalf of a business, you represent that you are
authorized to bind that business to these Terms.

## 4. Accounts and access

- **DJ Business accounts** are created with an email and password. You are
  responsible for your account, for keeping credentials secure, and for all activity
  under your account and that of your staff.
- **Couples** typically access a DJ Business's portal through a passwordless
  **sign-in link** sent to their email. Keep access to your email secure; anyone with
  access to your inbox may be able to access your portal.
- Notify us promptly of any unauthorized use at [[FILL: SUPPORT_EMAIL]].

## 5. The Service; roles between GigBook, DJ Businesses, and Couples

GigBook provides tools for DJ Businesses to run their business with their Couples.
**GigBook is a technology provider, not a party to the booking, contract, or payment
relationship between a DJ Business and its Couples.** Agreements for DJ services are
between the DJ Business and the Couple. GigBook does not provide DJ, event, or legal
services and does not guarantee any event outcome.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable,
revocable right to access and use the Service for its intended purpose.

## 6. DJ Business responsibilities

If you are a DJ Business, you additionally agree that:

- **You control your Couples' data.** You determine what you collect and how you use
  it, and you are responsible for having the necessary rights, notices, and consents
  to collect it and to process it through GigBook. GigBook acts as your **service
  provider** for that data (see the [Privacy Policy](/privacy-policy)).
- **You will provide your own client-facing privacy and contract terms** as required
  for your business and jurisdiction, and comply with applicable laws (including
  privacy, consumer-protection, e-signature, and anti-spam laws such as CAN-SPAM and
  CASL when you send messages to your Couples).
- **You are responsible for your content and configurations,** including booking-form
  questions, contract templates, payout handles, and any **webhooks/integrations** you
  enable and the destinations you send data to.
- You will not use the Service to violate the rights of your Couples or others.

## 7. Payments and fees

### 7a. Between GigBook and DJ Businesses

### 7b. Between DJ Businesses and Couples
GigBook helps a DJ Business **record** quotes, invoices, and payment status, but
**payments are made outside GigBook** through third-party services the DJ Business
chooses (e.g. Venmo, PayPal, Zelle). GigBook does not process, hold, or transmit these
payments, does not store card or bank details, and is **not responsible** for those
transactions, refunds, or disputes, which are solely between the DJ Business and the
Couple.

## 8. Electronic signatures and records

The Service lets Couples sign contracts electronically. By signing electronically, you
agree that your electronic signature is the legal equivalent of your handwritten
signature and that you intend to be bound by the signed contract. You consent to
transact electronically and to receive contracts and related records in electronic
form, consistent with the U.S. **ESIGN Act** and **UETA** and applicable Canadian
electronic-transactions law. To evidence signatures, we record the signer's name, the
signature image, the date and time, and the signer's **IP address**. The contract
itself is between the DJ Business and the Couple; GigBook provides the signing tool
only. You may request a copy of a signed record from the DJ Business.

## 9. Acceptable use

You agree not to:
- break the law or infringe others' rights when using the Service;
- upload malware, attempt to breach security, probe, or disrupt the Service;
- access data across tenants or accounts you are not authorized to access;
- reverse engineer, scrape, or misuse the Service or APIs beyond documented use or
  rate limits;
- send unlawful, harassing, deceptive, or unsolicited-in-violation-of-law messages
  through the Service.

We may suspend or terminate access for violations.

## 10. Intellectual property

The Service, including its software, design, and content we provide, is owned by
GigBook and its licensors and is protected by law. These Terms grant you no ownership
of the Service. **You retain ownership of your Customer Content.** You grant GigBook a
worldwide, non-exclusive license to host, store, process, transmit, display, and
back up your Customer Content **solely to provide and improve the Service** and as
directed by you. You are responsible for your Customer Content and represent you have
the rights to it.

## 11. Third-party services

The Service may interoperate with third-party services (payment apps, webhook targets,
automation tools). We do not control and are not responsible for third-party services,
and your use of them is governed by their terms. Enabling an integration authorizes
the associated data flow described in our [Privacy Policy](/privacy-policy).

## 12. Disclaimers

THE SERVICE IS PROVIDED "**AS IS**" AND "**AS AVAILABLE**," WITHOUT WARRANTIES OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted,
error-free, or secure, or that it meets your requirements. Some jurisdictions do not
allow certain disclaimers, so some may not apply to you.

## 13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGBOOK AND ITS SUPPLIERS WILL NOT BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST
PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE
SERVICE WILL NOT EXCEED THE GREATER OF **[[FILL: LIABILITY_CAP — e.g. amounts you paid

remedy fails its essential purpose. Some jurisdictions do not allow certain

## 14. Indemnification

You agree to indemnify and hold harmless GigBook from claims, damages, and expenses
(including reasonable legal fees) arising from your Customer Content, your use of the
Service, your violation of these Terms or law, or — for DJ Businesses — your
relationship with and handling of your Couples' data.

## 15. Term, suspension, and termination

These Terms apply while you use the Service. You may stop using the Service at any
time. We may suspend or terminate access if you breach these Terms, create risk or
legal exposure, or as needed to protect the Service. On termination, your right to use
the Service ends. We may retain and delete Customer Content as described in the
[Privacy Policy](/privacy-policy) and as required by law; DJ Businesses are
responsible for exporting or preserving needed records before termination.

## 16. Changes to the Service and these Terms

We may modify the Service and update these Terms. For material changes to the Terms,

## 17. Governing law and dispute resolution

- **No waiver.** Our failure to enforce a provision is not a waiver.
- **Assignment.** You may not assign these Terms without our consent; we may assign
  them in connection with a merger, acquisition, or sale of assets.
- **Force majeure.** We are not liable for delays or failures beyond our reasonable
  control.
- **Notices.** We may provide notices via the Service or the email associated with
  your account.
